Terms of Service

GhostNexus (Salim LABOUE, entrepreneur individuel) — Effective date: April 19, 2026

Governed by French law. English language controls in the event of any conflict with a translation.

These Terms of Service (“Terms”) constitute a legally binding agreement between you (“User”, “you”) and Salim LABOUE, entrepreneur individuel trading under the name GhostNexus, registered in France under SIRET 102 801 883 00012 (“GhostNexus”, “we”, “us”). Please read them carefully.

1. Acceptance of Terms

By accessing or using the GhostNexus platform, API, or any associated services (collectively, the “Service”), you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree, you must immediately cease use of the Service.

We reserve the right to modify these Terms at any time. Material changes will be communicated by email to your registered address at least 30 days before they take effect. If you do not agree with the proposed changes, you may terminate your account before the effective date without penalty and receive a pro-rata refund of any unused paid credits. Your continued use of the Service after the effective date constitutes acceptance of the revised Terms.

2. Service Description

GhostNexus operates a decentralized GPU compute marketplace. GhostNexus provides orchestration services — including workload matchmaking, secure job dispatch, sandboxing, and billing — but does not own or operate the underlying GPU hardware. Hardware is owned and operated by independent compute providers (“Providers”) who have agreed to the GhostNexus Provider Agreement.

All compute infrastructure used to process your jobs is located exclusively within the European Union (Hetzner datacenters in Frankfurt, Germany and Helsinki, Finland). GhostNexus acts as an intermediary and orchestration layer; it is not a cloud infrastructure provider and does not guarantee the availability, capacity, or performance of any specific hardware resource.

The Service includes job scheduling, per-second billing, an API for programmatic access, a web dashboard, and associated support. Features may vary by subscription tier.

3. Account Registration

To use the Service you must register for an account. You agree to provide accurate, current, and complete information and to keep it up to date. You must be at least 18 years of age, or the age of legal majority in your jurisdiction if higher.

You are responsible for maintaining the confidentiality of your account credentials and API keys. You must notify us immediately at contact@ghostnexus.net upon becoming aware of any unauthorised use of your account.

API Key TTL: All API keys have a maximum lifetime of 90 days from the date of issuance. Keys expire automatically at the end of this period and must be rotated. You can generate new keys at any time from the dashboard. GhostNexus is not responsible for service interruptions caused by expired keys.

You may not share your account or API keys with third parties, resell access to the Service, or use automation to create multiple accounts.

4. Acceptable Use Policy

You agree to use the Service only for lawful purposes and in accordance with these Terms. The following uses are strictly prohibited:

  • Cryptocurrency mining or cryptojacking — using compute resources to mine, validate, or otherwise generate cryptocurrency or tokens of any kind, whether for yourself or a third party, with or without their knowledge.
  • Child sexual abuse material (CSAM) — generating, storing, processing, or transmitting any content that sexually exploits minors. Violations will be reported immediately to the relevant law enforcement authorities.
  • Reverse engineering — decompiling, disassembling, or otherwise attempting to derive the source code, architecture, or trade secrets of the GhostNexus platform, sandbox environment, or Provider infrastructure.
  • Distributed denial-of-service (DDoS) attacks — using the Service to launch, facilitate, or amplify attacks against any target, including GhostNexus itself.
  • Unauthorised scraping — systematically extracting data from the GhostNexus platform, API, or any third-party service via the Service, beyond what is expressly permitted.
  • Export control violations — using the Service to process, transmit, or store data, software, or technology in violation of applicable export controls, including EU Regulation 2021/821, U.S. Export Administration Regulations (EAR), or OFAC sanctions.
  • Any use that violates applicable law, infringes intellectual property rights, or facilitates fraud, abuse, or harm to any person or system.
Script Validation Notice: GhostNexus performs automated static analysis and heuristic validation of submitted scripts before dispatch. This validation is designed to detect common policy violations and malicious patterns; however, it does not constitute a guarantee of security and may not catch all harmful or prohibited workloads. You remain solely responsible for the content and legality of the scripts and data you submit.

5. Compute Credits & Billing

The Service is billed using Compute Credits. Credits are consumed based on wall-clock time measured from job start to job termination (including any teardown period), rounded up to the nearest second. Billing rates depend on the GPU tier selected at job submission, as published on the GhostNexus pricing page. Prices are denominated in US dollars (USD). GhostNexus currently operates under the French VAT exemption for micro-enterprises (franchise en base de TVA — Art. 293 B du CGI); accordingly, no VAT is charged and invoices bear the mention “TVA non applicable, art. 293 B du CGI”. This may change if the revenue threshold is exceeded, in which case users will be notified at least 30 days in advance.

Credit card payments are processed by Stripe, Inc. acting as our payment service provider. By providing payment details, you authorise Stripe to charge the specified amount on our behalf. GhostNexus does not store raw payment card data.

Credit Types & Refund Policy:
  • Promotional / bonus credits (including referral bonuses, trial grants, and promotional top-ups): non-refundable and expire 90 days after issuance.
  • Paid credits (purchased directly with currency): eligible for a full refund within 14 days of purchase, provided they have not been consumed. This right is in addition to and does not limit any statutory rights you may have under applicable EU consumer law (Directive 2011/83/EU).
  • Consumed credits are non-refundable except where the underlying job failure was caused by a documented GhostNexus platform error, as determined at our reasonable discretion.

Credits have no monetary value, are non-transferable between accounts, and cannot be exchanged for cash except as provided by the refund policy above or as required by mandatory consumer protection law.

6. Compute Providers

Providers are independent third parties who contribute GPU hardware to the GhostNexus marketplace. They are not employees, agents, or representatives of GhostNexus. GhostNexus orchestrates job dispatch to Providers according to availability, pricing, and compliance with GhostNexus security requirements, but does not exercise operational control over Provider hardware.

Providers receive a 70% revenue share of the compute fees attributable to their resources, as calculated by GhostNexus. The remaining 30% is retained by GhostNexus as a marketplace and orchestration fee.

GhostNexus is not liable for service interruptions, data loss, or performance degradation caused by Provider hardware failure, connectivity issues, or Provider non-compliance. In such events, GhostNexus will endeavour to reschedule affected jobs or issue appropriate credit adjustments at its sole discretion.

7. Intellectual Property

You retain full ownership of all scripts, code, data, models, and outputs you submit to or generate through the Service (“User Content”). GhostNexus claims no ownership interest in User Content.

You grant GhostNexus a limited, non-exclusive, royalty-free licence to process and transmit User Content solely to the extent necessary to provide the Service. This licence terminates upon deletion of your account or completion of the relevant job, whichever is earlier.

GhostNexus retains all intellectual property rights in the platform, API, dashboard, orchestration algorithms, tooling, branding, and documentation. Nothing in these Terms grants you any rights in GhostNexus intellectual property beyond the limited right to use the Service as described herein.

8. Disclaimer of Warranties

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE”, WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. Given the decentralized and heterogeneous nature of the infrastructure, GhostNexus does not warrant uninterrupted, error-free, or secure access to the Service.

Uptime Commitments by Tier:
  • Public (Free) Tier: No uptime guarantee or SLA. Service is provided on a best-effort basis and may be subject to throttling, queuing, or interruption without notice.
  • Pro Tier: A target of 99% monthly uptime for the GhostNexus orchestration layer (API availability and job dispatch). This target excludes scheduled maintenance (notified at least 24 hours in advance), force majeure events, Provider hardware failures, and issues attributable to third-party services. This target is not a contractual SLA and does not give rise to service credits unless separately agreed in writing.

The disclaimers in this section apply to the fullest extent permitted by applicable law. Nothing herein excludes or limits any statutory rights you may have as a consumer under mandatory EU consumer protection legislation, including the legal guarantee of conformity under Directive 2019/771/EU and the French garantie légale de conformité (Articles L.217-1 et seq. of the French Consumer Code), which cannot be excluded or limited by contract.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL GHOSTNEXUS, ITS DIRECTORS, EMPLOYEES, AGENTS, OR PROVIDERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, LOSS OF DATA, BUSINESS INTERRUPTION, OR LOSS OF GOODWILL, ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN ALL CASES, GHOSTNEXUS’S TOTAL AGGREGATE LIABILITY TO YOU FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE TOTAL AMOUNTS PAID BY YOU TO GHOSTNEXUS IN THE THREE (3) CALENDAR MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

Nothing in these Terms limits or excludes liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded or limited under French law.

10. Termination

You may terminate your account at any time by deleting it from the dashboard or contacting us at contact@ghostnexus.net. Upon termination, any unused paid credits (not subject to refund under Section 5) will be forfeited.

GhostNexus may suspend or terminate your account immediately, without prior notice, if:

  • You violate any provision of the Acceptable Use Policy (Section 4).
  • We detect fraudulent activity, including chargebacks, payment fraud, or account abuse.
  • We are required to do so by law or a competent authority.
  • Your continued use poses a risk to the security or integrity of the Service or other users.

In the event of termination for fraud or material AUP violation, all credits (paid and promotional) are forfeited and no refund will be issued. GhostNexus reserves the right to pursue any available legal remedies.

Sections 7 (Intellectual Property), 8 (Disclaimer of Warranties), 9 (Limitation of Liability), and 11 (Governing Law) survive termination of these Terms.

11. Governing Law & Dispute Resolution

These Terms and any dispute or claim arising out of or in connection with them (including non-contractual disputes or claims) shall be governed by and construed in accordance with the laws of France, without regard to its conflict of law provisions.

The English language version of these Terms controls in the event of any inconsistency or conflict with any translation into another language.

Any dispute, controversy, or claim arising out of or relating to these Terms, or their breach, termination, or validity, shall be subject to the exclusive jurisdiction of the Tribunal de Commerce de Paris (Paris Commercial Court), except where mandatory consumer protection law grants you the right to bring proceedings in the courts of your place of residence, which right is not affected by this clause.

For consumer disputes, you may also have the right to use an alternative dispute resolution (ADR) body. In accordance with Article L.616-1 of the French Consumer Code, GhostNexus designates the following approved consumer mediator: CM2C (Centre de la Médiation de la Consommation de Conciliateurs de Justice), reachable at www.cm2c.net — 14 rue Saint-Jean, 75017 Paris, France.

In accordance with Regulation (EU) No 524/2013 on online dispute resolution, you may also submit a complaint through the European Commission's Online Dispute Resolution (ODR) platform, accessible at ec.europa.eu/consumers/odr/.
